These Terms of Use ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Cretespace governing your access to and use of our website, platform, and Services.
By accessing, browsing, or using Cretespace, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use our Services.
2. Services
Cretespace provides a service-driven platform that enables users to request, manage, and receive a wide range of digital, physical, and hybrid services (the "Services"). These Services may include, but are not limited to, digital design, content creation, branding, document processing, printing, logistics, delivery, and other custom business or creative solutions.
All Services are defined and structured based on specific service configurations, which may include service scope, pricing, delivery options, timelines, and requirements. Cretespace reserves the right to modify, expand, suspend, or discontinue any Service or feature at any time without prior notice.
Cretespace may fulfill Services directly or through approved partners, vendors, or third-party providers. While we aim to ensure quality and reliability, Cretespace does not guarantee that all Services will be uninterrupted, error-free, or meet every specific expectation of the User.
3. Orders & Payments
By submitting an order on Cretespace, you represent and warrant that all information provided is accurate, complete, and authorized. All orders are subject to review and acceptance by Cretespace. We reserve the right, at our sole discretion, to reject, suspend, or cancel any order, including where we suspect fraud, unauthorized activity, pricing errors, or service unavailability.
No order shall be deemed accepted or scheduled for processing until full payment has been successfully received and confirmed by Cretespace. Payment obligations are non-cancellable once processing has commenced, except as expressly determined by Cretespace.
All pricing is determined dynamically based on the applicable service configuration, including but not limited to scope, specifications, urgency, delivery method, and geographic location. Cretespace reserves the right to correct pricing errors and to modify pricing at any time prior to order acceptance without liability.
Once an order has entered processing, it may not be modified, withdrawn, or canceled by the User except with the prior written approval of Cretespace. Any approved modifications, cancellations, or reversals may result in partial fulfillment, adjusted delivery timelines, additional charges, or partial refunds, as determined solely by Cretespace.
Payments are processed through independent third-party payment providers. Cretespace does not store full payment credentials and shall not be liable for any transaction failure, delay, chargeback, or loss arising from payment processing systems outside its direct control.
In the event of a chargeback, dispute, or payment reversal initiated by the User or their financial institution, Cretespace reserves the right to suspend or terminate the User’s access to the Services and recover any outstanding amounts, including costs incurred during fulfillment.
4. File Responsibility
User Responsibility: You are solely responsible for the accuracy, quality, legality, and completeness of all files, content, and instructions submitted to Cretespace. This includes ensuring that all files are correctly formatted, free from errors, and suitable for the requested Service. Cretespace shall not be liable for any errors, defects, or outcomes resulting from inaccurate, incomplete, or improperly prepared files provided by the User.
Cretespace Responsibility: Cretespace will handle all submitted files with reasonable care and in accordance with standard operational practices necessary to fulfill the requested Service. However, Cretespace does not independently verify the accuracy, legality, or suitability of User-submitted content and shall not be responsible for identifying errors prior to processing or fulfillment.
Disclaimer: Cretespace shall not be held liable for any loss, damage, or dissatisfaction arising from the use of files provided by the User, including but not limited to printing errors, formatting issues, content inaccuracies, or unintended outputs resulting from the original file submission.
File Protection: Cretespace implements reasonable technical and organizational measures to protect User files against unauthorized access, loss, or misuse during transmission, storage, and processing. Notwithstanding the foregoing, no system is completely secure, and Cretespace does not guarantee absolute security of any files or data transmitted through the platform.
Confidentiality and Non-Leak Clause: Cretespace shall not intentionally disclose, distribute, or make publicly available any User-submitted files or content to unauthorized third parties, except as required for service fulfillment (including use of trusted partners or vendors) or as required by law. All personnel and authorized partners handling User files are expected to maintain strict confidentiality. Cretespace shall not be liable for breaches resulting from factors beyond its reasonable control, including but not limited to cyberattacks, force majeure events, or unauthorized access despite reasonable safeguards.
5. Delivery
Delivery timelines are estimates only and are determined based on the selected service configuration, including urgency, processing requirements, and delivery method. While Cretespace aims to meet stated timelines, all delivery times are non-binding and may vary due to operational or external factors.
Cretespace shall not be liable for delays caused by events beyond its reasonable control, including but not limited to logistics disruptions, courier delays, weather conditions, technical failures, incomplete or delayed User input, or force majeure events.
For physical deliveries, risk of loss or damage transfers to the User upon successful handover to the designated delivery provider or upon delivery to the address provided by the User. It is the User’s responsibility to ensure that delivery details are accurate and that someone is available to receive the order where applicable.
Where delivery attempts fail due to incorrect information, unavailability of the recipient, or refusal to accept the order, Cretespace reserves the right to reschedule delivery at additional cost or treat the order as fulfilled without refund.
Digital deliveries shall be deemed completed once the final output has been made available to the User through the platform, email, or other designated delivery channel.
6. Refunds & Returns
All payments made to Cretespace are generally non-refundable once an order has been confirmed and processing has commenced. Due to the customized and service-based nature of our offerings, refunds are only granted at the sole discretion of Cretespace.
Refunds may be considered in limited circumstances, including but not limited to (i) failure by Cretespace to deliver the agreed Service, or (ii) verified defects or errors directly attributable to Cretespace. In such cases, refunds may be issued in full or in part depending on the stage of fulfillment.
No refunds shall be provided for errors, defects, or dissatisfaction arising from User-submitted files, incorrect specifications, or failure to provide accurate instructions.
Requests for refunds must be submitted within a reasonable time after delivery of the Service. Cretespace reserves the right to reject any refund request that does not meet its review criteria or is submitted outside an acceptable timeframe.
Where applicable, approved refunds shall be processed through the original payment method within a reasonable period, subject to the policies of the payment provider.
7. Indemnification
You agree to indemnify, defend, and hold harmless Cretespace, its affiliates, directors, employees, contractors, and partners from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or related to:
(i) your use of the Services, (ii) your violation of these Terms, (iii) any content, files, or materials you submit to Cretespace, or (iv) your violation of any applicable law or third-party rights.
Cretespace reserves the right to assume exclusive control of the defense of any matter subject to indemnification by you, in which case you agree to cooperate fully with such defense.
This indemnification obligation survives termination or cessation of your use of the Services.
8. User Conduct & Prohibited Use
You agree to use Cretespace solely for lawful purposes and in compliance with these Terms. You are responsible for all activity conducted under your account.
You must not use the Services to engage in any activity that is unlawful, fraudulent, abusive, or harmful, including but not limited to submitting illegal content, infringing intellectual property rights, or violating any applicable laws or regulations.
You are strictly prohibited from attempting to interfere with, disrupt, reverse-engineer, exploit, or gain unauthorized access to any part of the Cretespace platform, including service configurations, pricing logic, systems, or security mechanisms.
You must not upload or transmit any files, materials, or instructions that contain malware, viruses, or any other harmful code intended to damage or compromise systems or data.
Cretespace reserves the right to suspend, restrict, or terminate access to the Services without notice if we reasonably believe you have violated this section or engaged in any prohibited conduct.
9. Intellectual Property
All content, materials, systems, designs, software, branding, and infrastructure associated with Cretespace are the exclusive property of Cretespace or its licensors and are protected by applicable intellectual property laws. You may not copy, modify, distribute, reverse-engineer, or exploit any part of the platform without prior written consent.
Upon full payment and completion of a Service, Cretespace may transfer to the User the rights to the final deliverables specifically created for that order, unless otherwise stated in a separate agreement or service description.
Cretespace retains the right to use non-confidential deliverables, anonymized outputs, or completed work for portfolio, marketing, or promotional purposes unless the User explicitly requests confidentiality in writing prior to service completion.
The User shall not claim ownership over Cretespace’s underlying systems, templates, workflows, or proprietary methods used in delivering Services, even if such systems contribute to the final output.
10. Limitation of Liability
To the maximum extent permitted by applicable law, Cretespace, its affiliates, directors, employees, agents, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, goodwill, or business opportunities, arising out of or in connection with the use of, or inability to use, the Services.
Cretespace’s total aggregate liability for any claim, dispute, or cause of action arising out of or relating to the Services shall not exceed the total amount paid by the User for the specific Service giving rise to the claim.
Cretespace shall not be liable for any loss or damage resulting from (i) User-submitted content or files, (ii) third-party service providers, including payment processors and delivery partners, (iii) delays or failures caused by events beyond its reasonable control, or (iv) unauthorized access to or alteration of User data despite reasonable safeguards.
Nothing in these Terms shall exclude or limit liability where such limitation is prohibited by applicable law.
11. Governing Law & Jurisdiction
These Terms and any dispute, claim, or obligation arising out of or in connection with the Services shall be governed by and interpreted in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law principles.
You agree that any legal action or proceeding arising under these Terms shall be brought exclusively in the competent courts located in Lagos State, Nigeria, and you hereby consent to the personal jurisdiction and venue of such courts.
By using the Services, you waive any objection to jurisdiction, venue, or inconvenient forum to the extent permitted by applicable law.
12. Force Majeure
Cretespace shall not be held liable or responsible for any failure or delay in performance of its obligations under these Terms where such failure or delay is caused by events beyond its reasonable control.
Such events include, but are not limited to, natural disasters, acts of God, pandemics, war, civil unrest, government actions, labor strikes, power or internet outages, cyberattacks, infrastructure failures, or disruptions affecting third-party service providers.
During any Force Majeure event, Cretespace reserves the right to suspend, modify, or delay Services without liability until normal operations can reasonably resume.
13. Changes to Terms
Cretespace reserves the right to modify, update, or replace these Terms at any time at its sole discretion. Any changes will become effective immediately upon publication on the platform, unless otherwise stated.
Where changes materially affect User rights or obligations, Cretespace may provide reasonable notice through the platform, email, or other communication channels. It is the User’s responsibility to review these Terms periodically for updates.
Continued access to or use of the Services after any changes have been published constitutes acceptance of the revised Terms. If you do not agree to the updated Terms, you must discontinue use of the Services immediately.
14. Entire Agreement
These Terms, together with the Privacy Policy and any service-specific agreements or policies published by Cretespace, constitute the entire agreement between you and Cretespace regarding your use of the Services.
They supersede and replace any prior or contemporaneous agreements, communications, representations, or understandings, whether written or oral, relating to the Services.
15. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a competent authority, such provision shall be modified to the minimum extent necessary to make it enforceable, or severed if necessary.
The remaining provisions of these Terms shall remain in full force and effect and shall not be affected by such invalidity or unenforceability.
